These Terms of Service ("Terms") govern your use of Centrux ("Service"), operated by Foodieter (푸디어터), a sole proprietorship registered in the Republic of Korea (business registration no. 607-57-26197) and owned by Park Jaehyun (박재현) ("we", "us", "our"). "Centrux" is the name of the product and service provided by Foodieter; it is not a separate legal entity. By accessing or using the Service, you agree to be bound by these Terms.

Centrux is a web-based productivity workspace that provides:
Free Plan: Includes 1 project, 1 shared collaborator, core features, and 100 MB of account file storage at no cost. New files are limited to 5 MB each. Files uploaded by collaborators count toward the project owner’s storage.
Pro Plan (USD 8.99 / month or USD 89.90 / year; KRW 9,900 / month or KRW 99,000 / year for customers in Korea, VAT included; outside Korea the price includes applicable VAT/GST, while US customers may be charged sales tax on top): Includes unlimited projects, unlimited collaborators, and project files up to 25 MiB each. Monthly and yearly Pro offer the same features. Widgets, wiki and MCP API access are also available on Free. The yearly price is paid upfront, equivalent to KRW 8,250/month in Korea; it is not a monthly installment plan.
Note recovery: Project notes provide limited version history and a 30-day trash period. Retained attachments still count toward storage; permanently deleted or expired files cannot be recovered. Owners can permanently delete trashed notes. See the note recovery policy and Korean summary.
File retention: Active Free accounts retain files within their quota. Inactive Free accounts receive a file-cleanup notice after 180 days and a separate account-cleanup notice after 365 days, each with at least 30 days after confirmed email sending. Returning to the web app or MCP cancels inactivity cleanup. Free storage above 100 MB receives at least 90 days after notice to select files, export or delete excess data. Selected files are kept first, then newest files that fit. Active Pro subscriptions and shared projects in use are protected. Existing accounts start from policy rollout; no old inactivity is backdated. See the full file retention policy and Korean summary.
Pro subscriptions are sold and processed by Paddle.com Market Ltd. ("Paddle"), acting as our merchant of record. Your purchase is completed with Paddle, which charges your payment method, collects any applicable taxes, and issues invoices; Paddle's Checkout Buyer Terms also apply to the transaction. By subscribing, you authorize Paddle to charge your registered payment method on the monthly or yearly schedule you select until you cancel.
We may change subscription pricing with at least 30 days' prior notice via the Service or email. Price changes apply to billing cycles starting after the notice period.
Ownership: You retain all rights to content you create on the Service (tasks, wiki pages, notes, projects).
License to Us: By using the Service, you grant us a limited, non-exclusive license to store, process, and display your content solely for the purpose of operating the Service.
Responsibility: You are solely responsible for the content you create and share. Do not upload content that is illegal, harmful, or infringes on others' rights.
API keys provide programmatic access to your Centrux data. You are responsible for:

The Service, including its design, code, features, and branding ("Centrux"), is owned by us and protected by applicable intellectual property laws. These Terms do not grant you any right to use our trademarks or branding.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We are not liable for any loss resulting from service interruptions.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CENTRUX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
Our total liability for any claim related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
You may terminate your account at any time by contacting us. We may suspend or terminate your account if you violate these Terms. Upon termination, your right to use the Service ceases immediately, and we may delete your data after 30 days.
We may modify these Terms at any time. Material changes will be communicated via the Service or email. Continued use after changes constitutes acceptance of the updated Terms.
These Terms are governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising from these Terms shall be submitted to the exclusive jurisdiction of the courts of Seoul, Republic of Korea.
